This is where it all begins. After signing the agreement, we get to work behind the scenes to prepare your business for the market. This prep period typically takes about two weeks and sets the tone for a thoughtful, strategic sale process.

We kick off with a welcome call to introduce you to your advisor and the team behind you. From there, we begin building out your materials. Not just the basics, but the story of your agency told in a way buyers will truly understand and value.

Here’s what’s included in this first phase:

  • Data Room Preparation: We organize and polish your financials and key documents into a format that’s clean, secure, and ready for review.
  • Blinded Listing Creation: We craft an anonymized campaign designed to attract interest from buyers who are a strategic fit while keeping your identity confidential until they’re fully vetted.
  • Prospectus Creation: We build a 10 to 20 page prospectus that showcases the opportunity, from your revenue model to your team structure to your growth potential. This is what serious buyers see after signing an NDA.

Timeframe: 30-90 days

Going to Market: Phase 2 – Live Listing

With your materials finalized, we take your agency to the market. This is where the momentum builds. Our buyer outreach is deliberate and data-driven, targeting the right people based on fit, not just availability.

We run outreach to our database of over 3,000 verified buyers, most of whom we’ve worked with before. Each buyer has submitted detailed acquisition criteria, so when we match you with them, it’s with purpose.

Here’s what’s included in this phase:

  • Outreach: Targeted outreach based on your agency profile and each buyer’s preferences
  • Buyer Vetting: Every buyer is qualified before introductions. We confirm credibility, funding, and fit
  • Weekly Touch Bases: Regular 30-minute calls to share progress and gather feedback
  • Buyer x Seller Calls: We coordinate 5 to 10 one-hour intro calls during the first month to assess mutual fit
  • Offer Collection and Negotiation: We aim for 3 to 5 offers and negotiate terms on your behalf, prioritizing strong cash at close

Timeframe: 30-90 days

Crossing the Finish Line: Phase 3 – Due Diligence

Once you select a buyer and go under contract, due diligence begins. This can be a detailed and time-intensive phase, but we guide you through it with structure and support.

Our in-house finance and diligence manager works closely with your Merge advisor to:

  • Keep documents organized and up-to-date
  • Respond to buyer information requests
  • Maintain momentum and transparency on both sides
  • Coordinate closing details with your attorney
